1. Agreement to Terms
These Terms of Service (“Terms”) govern access to and use of the Agaron.Chat omnichannel messaging platform (“Service”), provided by Agaron Technologies LLC (“Agaron,” “Company,” “we,” “us,” or “our”).
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

3. Description of Service
Agaron.Chat is a subscription-based SaaS omnichannel communication platform that includes:
- Centralized messaging across multiple channels in a single interface
- AI-powered chatbot and workflow automation
- Integrated CRM and ticketing system
- Real-time analytics, reporting, and dashboards
- Third-party integrations
- API and SDK access
Supported channels may include, without limitation: WhatsApp Business API, Instagram Direct, Facebook Messenger, Telegram, Email, SMS, LINE, Twilio, Bandwidth, and other supported integrations.
Agaron reserves the right to modify, add, or remove features at any time, with 30 days’ prior notice for changes that materially impact the use of the Service.
4. Eligibility
To use the Service, you must:
- Be at least 18 years of age
- Have authority to bind the organization you represent
- Use the Service solely for lawful business purposes
5. Account Registration
By creating an account, you agree to:
- Provide accurate, truthful, and current information
- Maintain the security of your login credentials
- Notify Agaron immediately of any unauthorized use of your account
You are responsible for all activity that occurs under your account.
6. Plans, Subscriptions, and Billing
6.1 Available Plans
Agaron offers various subscription plans whose details, features, and pricing are available on the official website and/or in individualized commercial proposals. Plans may include starter, growth, and enterprise tiers with custom terms.
6.2 Free Trial
Agaron may offer free trial periods for select plans. At the end of the trial period, billing will commence automatically unless the customer cancels prior to the trial expiration. The duration of the free trial will be communicated at the time of signup.
6.3 Billing Terms
Billing options may include monthly, annual, or usage-based cycles (Enterprise only). All fees:
- Are non-refundable except on a case-by-case basis at Agaron’s sole discretion
- Are exclusive of applicable taxes (state, local, and federal)
- Are subject to price adjustments with 30 days’ prior written notice
- Non-payment for more than 15 days may result in suspension of access
6.4 Setup Fees
One-time setup and configuration fees may apply depending on the plan selected and will be communicated in the commercial proposal prior to engagement.
6.5 Early Termination Fee
In the event of early termination by the customer under a fixed-term contract, an early termination fee of up to 50% of the remaining contract value may apply, as specified in the applicable service agreement.
7. Customer Responsibilities
The customer is responsible for:
- WhatsApp numbers and Meta/WhatsApp Business accounts
- Third-party platform accounts and integrations
- API credentials and access security
- Compliance with third-party platform terms of service
- Compliance with all applicable federal, state, and local laws
Agaron is not responsible for policies, restrictions, or changes imposed by third-party platforms.
8. Acceptable Use Policy
You agree not to use the Service for:
- Unsolicited messaging (spam)
- Illegal, defamatory, or rights-infringing content
- Harassment, abuse, or fraudulent activity
- High-risk activities including: cryptocurrency scams, adult content, illegal gambling, and unlawful marketing
Agaron may suspend or terminate accounts in violation of this policy, without prejudice to any other legal remedies available.
9. Third-Party Services
Agaron.Chat integrates with third-party services including messaging platforms, AI providers, and communication APIs. These services operate independently.
Agaron is not responsible for:
- Downtime or interruptions of third-party services
- Changes to APIs or policies of external platforms
- Restrictions imposed by third parties
10. Artificial Intelligence Features
Agaron.Chat utilizes third-party AI providers, including OpenAI and Google. The customer acknowledges that:
- AI-generated responses may contain inaccuracies
- All AI-generated content must be reviewed by humans prior to use
- Agaron is not responsible for content generated by artificial intelligence
- Use of AI features is subject to the terms of the respective AI providers
11. Data and Privacy
11.1 Data Storage
Agaron stores chat messages, automation configurations, and account data. The default data retention period is 30 (thirty) days, after which data may be automatically deleted.
11.2 Data Protection
Agaron acts as a data processor on behalf of the customer (data controller) and is committed to:
- Processing personal data only as instructed by the controller
- Implementing appropriate technical and organizational security measures
- Notifying the customer of security incidents involving personal data within 72 hours
- Assisting the customer in fulfilling data subject access requests
Agaron complies with applicable U.S. federal and state data protection laws, including the California Consumer Privacy Act (CCPA) where applicable, and any other relevant state privacy statutes.
11.3 Data Export
Customers may request data export or backup by contacting contact@agaron.us. Agaron commits to fulfilling export requests within 15 business days.
11.4 Data Deletion
Customers may request deletion of their data by contacting contact@agaron.us, in accordance with applicable data protection regulations.
12. Service Availability and Support
Support includes email and chat assistance. Enterprise plans may have specific SLAs defined in a separate agreement.
Agaron uses commercially reasonable efforts to maintain Service availability but does not guarantee uninterrupted operation. Scheduled maintenance windows will be communicated with a minimum of 48 hours’ advance notice.
13. Suspension
Agaron may suspend access to the Service in the following circumstances:
- Violation of these Terms
- Abusive use of the platform
- Security risks or compliance concerns
- Non-payment
Where practicable, Agaron will provide the customer with 48 hours’ advance notice before suspension, except in urgent security situations.
14. Termination
14.1 Customer Termination
The customer may terminate the agreement at any time by canceling their subscription. A 30-day advance notice is recommended. The early termination fee described in Section 6.5 may apply.
14.2 Company Termination
Agaron may terminate the agreement:
- Immediately for material breach of these Terms
- After 30 days of non-payment
- For legal or regulatory compliance reasons
15. Data After Termination
Upon termination:
- Customer data will be deleted within 30 (thirty) days
- Backup requests must be submitted prior to termination
- Agaron is not responsible for data not exported within the specified timeframe
16. Intellectual Property
All rights in the Agaron.Chat platform, including software, trademarks, design, and documentation, are exclusively owned by Agaron Technologies LLC.
The customer retains ownership of:
- Their content and messages
- Data uploaded to the platform
- Custom automation configurations
17. Branding and Marketing
The customer grants Agaron permission to use the customer’s company name, logo, and testimonials for marketing purposes, including case studies and promotional materials.
The customer may revoke this permission at any time by submitting a written request to contact@agaron.us.
18. No Resellers
Resale, sublicensing, or distribution of the Service by agencies or third parties is not permitted without Agaron’s prior written consent. The White-Label program, when available, is governed by a separate agreement.
19. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AGARON DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
20. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- Agaron’s total liability shall not exceed the amount paid by the customer in the preceding 3 (three) months of Service use
- Agaron shall not be liable for lost profits, business interruption, loss of data, or third-party service failures
- In no event shall Agaron be liable for any indirect, incidental, special, consequential, or punitive damages
21. Indemnification
You agree to indemnify, defend, and hold harmless Agaron, its officers, directors, employees, and agents from and against any claims, losses, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from:
- Your use of the Service
- Content sent by you or your end users
- Your violation of applicable law or these Terms
22. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States of America, without regard to its conflict of law provisions.
Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Orange County, Florida.
23. Dispute Resolution
Prior to initiating any legal proceedings, the parties agree to attempt in good faith to resolve any dispute through informal negotiation for a period of 30 (thirty) days. If the dispute cannot be resolved informally, either party may proceed to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, or to litigation in the courts specified in Section 22.
24. Changes to Terms
Agaron may update these Terms from time to time. Material changes will be communicated with at least 30 days’ prior notice via email or in-platform notification.
Continued use of the Service after publication of the updated Terms constitutes acceptance of such changes.
